PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

1. DEFINITIONS

“amklo,” “we,” “us,” or “our” refers to AMKLO LLC, a New Mexico limited liability company. “Services” refers to our lead generation services: Web Leads, Pay-Per-Call (Inbound + Live Transfer), and Appointment Setting. “Partner,” “you,” or “your” refers to businesses using our Services, including contractors, home service professionals, insurance agencies, and other service providers. “Qualified Call/Lead” refers to customer connections meeting your Qualification Standards. “Qualification Standards” refers to the custom quality standards document or Master Service Agreement (MSA) we create together. “Platform” refers to our technology systems, websites, and dashboards. “Insertion Order (IO)” or “Master Service Agreement (MSA)” refers to your signed service agreement document.

2. ACCEPTANCE OF TERMS

By using amklo’s Services, signing an IO/MSA, funding your account, or receiving leads/calls, you agree to these Terms of Service. If you disagree, cease using our Services immediately.

2.1 Eligibility

Age 18 or older; Legitimate business with proper licensing; Legal authority to enter contracts; Compliance with all applicable laws; Accurate information provided.

2.2 Business Representation

If acting on behalf of a company, you confirm authority to bind that entity to these Terms.

3. OUR SERVICES

3.1 Service Overview

A. Web Leads: Exclusive form submissions with full contact details. B. Pay-Per-Call: Inbound direct customer calls to your line or Live Transfers. C. Appointment Setting: Pre-qualified prospects on your calendar.

3.2 Service Positioning

amklo is a lead generation and marketing technology service only. We do NOT perform the services your business provides, do NOT employ or supervise end customers, and are NOT responsible for your service quality or business operations.

3.3 Service Availability

Available in all 50 US states. Subject to market conditions and demand. No guaranteed lead quantities or timeframes.

4. SERVICE AGREEMENT AND PRICING

4.1 The Auto-Recharge Prepaid Model

amklo operates strictly on a prepaid, auto-recharge, pay-per-performance basis to protect advertising spend and ensure uninterrupted territory exclusivity. You fund your initial account balance via Domestic Wire Transfer, ACH, or approved credit card. Charges are deducted from your prepaid balance only when qualified leads/calls are delivered.

4.2 Threshold Billing & Replenishment

When the Partner’s active prepaid balance falls below twenty percent (20%) of their allocated volume (the “Recharge Threshold”), amklo is authorized to automatically charge the payment method on file or issue an immediate replenishment invoice to bring the account back to the agreed-upon balance. This prevents your campaigns from pausing and losing exclusive call routing.

4.3 Payment Processing

All payments are processed securely. By funding your account, you authorize amklo to charge your payment method. For high-ticket enterprise volume, ACH and Wire Transfers are the preferred and required methods. You are responsible for maintaining valid payment information. All payments are in US Dollars (USD).

4.4 Non-Refundable Prepaid Balance Policy

Services are invoiced and paid upfront based on the allocated lead/call volume. All cleared payments and prepaid deposits are strictly non-refundable. amklo does not issue cash refunds under any circumstances. Unused balances automatically roll over indefinitely and remain as account credit. Credits for non-qualified leads/calls are applied directly to your balance upon dispute resolution.

5. QUALITY GUARANTEE AND DISPUTE PROCESS

5.1 Qualification Standards

Before campaign launch, you and amklo will agree upon Qualification Standards (e.g., minimum duration buffers, geography, intent) outlined in your MSA.

5.2 Ironclad Quality Guarantee

You only pay for leads/calls that meet your Qualification Standards. If a lead or call does NOT meet the agreed-upon standards, you will receive an account credit.

5.3 Dispute Process

Step 1: Flag the disputed lead/call in your dashboard or via email within seventy-two (72) hours of delivery.

Step 2: Our QA team reviews the call recording or lead details within 24 business hours.

Step 3: If valid, a full credit is applied to your account immediately. If invalid, the charge stands and an explanation is provided.

5.4 Dispute Limitations

Disputes must be submitted within 72 hours of lead/call delivery. Disputes submitted after 72 hours will NOT be accepted. Subjective complaints (e.g., “customer changed their mind”) are not valid disputes.

5.5 Zero-Tolerance for Callback Fraud

amklo actively monitors for “Callback Fraud” (defined as a Partner’s agent intentionally disconnecting a live, qualified call prior to the agreed duration buffer with the intent to call the consumer back outside of amklo’s tracking system). If amklo identifies Callback Fraud, the Partner will be billed for the call, assessed a $500 penalty fee per instance, and risks immediate termination and forfeiture of their exclusive territory.

6. YOUR RESPONSIBILITIES

6.1 Information & Service Delivery

You agree to provide accurate information, respond promptly to leads, maintain proper licensing, and honor commitments made to customers.

6.2 Prohibited Activities

You must NOT: Resell or redistribute leads to third parties; Attempt to circumvent our quality guarantee system; Submit fraudulent dispute claims.

6.3 Compliance

You are solely responsible for compliance with all federal, state, and local laws, including TCPA compliance in your own outbound customer communications.

7. COMMUNICATION CONSENT (TCPA COMPLIANCE)

By using amklo’s Services, you provide express written consent to receive communications from us via phone, text, and email. You expressly consent to the recording of all phone calls between you and amklo, and between you and customers we connect you with, for quality assurance and dispute resolution.

8. PRIVACY AND DATA PROTECTION

Our full Privacy Policy is available at amklo.com/privacy and is incorporated into these Terms by reference.

9. INTELLECTUAL PROPERTY RIGHTS

All content, technology, algorithms, call routing systems, and AI-powered scoring systems are the exclusive property of AMKLO LLC. You are granted a limited, revocable license to access the Platform. You may NOT reverse engineer or copy our systems.

10. DISCLAIMERS AND WARRANTIES

AMKLO SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. We do NOT guarantee specific lead volumes, conversion rates, or business outcomes. Lead generation is inherently variable and market-dependent.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMKLO LLC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL AMKLO’S TOTAL LIABILITY EXCEED THE LESSER OF THE TOTAL AMOUNT YOU PAID IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $500 USD.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless amklo LLC from any claims arising from your use of Services, your business operations, faulty workmanship, or any disputes between you and customers we connect you with.

13. DISPUTE RESOLUTION AND ARBITRATION

13.1 Mandatory Binding Arbitration

YOU AND AMKLO AGREE THAT ANY DISPUTE SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION, NOT IN COURT. Conducted by the AAA in Albuquerque, New Mexico.

13.2 CLASS ACTION WAIVER

YOU AND AMKLO AGREE TO WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE ACTION.

14. TERMINATION

14.1 Termination by You

You may pause or terminate your use of Services at any time with written notice. Active campaigns will be paused. Pre-paid deposits are non-refundable and will be fulfilled through call delivery until the balance is exhausted.

14.2 Termination by amklo

We may terminate your account immediately if you violate these Terms, submit fraudulent disputes, or engage in Callback Fraud. No refunds will be issued upon termination.

15. GENERAL PROVISIONS

These Terms, along with your MSA and Privacy Policy, constitute the entire agreement. Governed by the laws of the State of New Mexico.
